Bion Environmental Technologies, Inc. Announces Filing of Form 10-SB Registration Statement, Additions to Management Team, Investment Banking Agreement and New York City Corporate Offices.
November 16, 2006. New York, New York. Bion Environmental Technologies, Inc. (‘Bion’) (Pink Sheets: BNET) announced the following today:
- On November 14, 2006 Bion filed a Form 10-SB Registration Statement with the U.S. Securities & Exchange Commission (link to EDGAR). When this registration statement has become effective, Bion will be subject to the periodic reporting requirements of the Securities Exchange Act of 1934, as amended.
- Effective October 15, 2005, Richard Berman, Bart Chilton and Charles Millard joined the Board of Directors of Bion’s operating subsidiary, Bion Dairy Corporation.. Messrs. Berman, Chilton and Millard have each agreed to serve as Directors of Bion when Bion has commenced periodic reporting with the Securities & Exchange Commission and has secured adequate D&O insurance coverage
The addition of Messrs. Berman, Chilton and Millard further strengthens Bion’s management team. During 2006 Bion previously added Mr. Salvatore Zizza as Chairman and Director of Dairy, Mr. Jeremy Rowland as COO of Dairy and Mr. Jeff Kapell as Dairy’s Vice President-Renewables. Bion intends to supplement its implementation team with further additions of management and technical personnel over the next 3-9 months in order to support its business plan of commencing development during the current fiscal year of the initial Integrated Projects (which will include large CAFOs, such as large dairies and beef cattle feed lots, with Bion waste treatment system modules processing the aggregate CAFO waste stream from the equivalent of 20,000 to 40,000 or more dairy cows (or the waste stream equivalent of other species) while producing solids to be utilized for renewable energy production and to be marketed as feed and/or fertilizer, integrated with an ethanol plant capable of producing 20 million to 40 (or more) million gallons of ethanol per year).
- On November 8, 2006 Bion entered into an investment banking agreement with R.W. Pressprich & Co., Inc. (‘RWP’) pursuant to which RWP will assist Bion in raising equity and financing for its Integrated Projects.
- Bion has new corporate headquarters at 641 Lexington Avenue, 17th Floor, New York, New York 10022.
